Terms of Use

These Terms of Use (“Terms”) govern your access to and use of VendorView360 websites, applications, profiles, communications, and related products and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to bind that organization.

1. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding agreement to use the Services. You agree to provide accurate information, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account.

2. The VendorView360 Services

VendorView360 provides tools that may help organizations discover, evaluate, qualify, onboard, communicate with, and manage vendors, and may help vendors create professional profiles, present their capabilities, discover vendor opportunities, and become discoverable to potential customers. Features may include profile publishing, search, opportunity postings, invitations, credential tracking, reminders, training, background-check integrations, electronic-signature integrations, and AI-assisted tools.

VendorView360 is a technology platform. Unless expressly stated in a separate written agreement, we are not a party to contracts between organizations and vendors and do not employ, supervise, control, endorse, or guarantee any user, vendor, organization, service, opportunity, credential, response, invitation, or transaction.

3. Profiles and User Content

You retain ownership of content you submit. You grant VendorView360 a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and distribute that content as necessary to operate, improve, and promote the Services and your profile, subject to your visibility and permission settings.

You represent that you have all rights and permissions needed to submit your content and that it is accurate, lawful, and not misleading. You may not submit confidential information belonging to another person or organization without authorization.

4. Vendor Information and Decisions

Profiles, credentials, search results, qualification summaries, reminders, AI-generated content, and other information support—not replace—independent review and judgment. Organizations are responsible for their own diligence, selection, contracting, monitoring, and compliance decisions. Vendors are responsible for maintaining accurate, current information and performing their obligations.

Verification indicators or qualification statuses mean only that specified information was reviewed or processed under the applicable workflow. They are not warranties of quality, suitability, safety, legal compliance, future performance, or the absence of risk.

5. Background Checks and Electronic Signatures

Background checks, electronic signatures, and certain verification services may be supplied by third parties and are subject to additional terms, disclosures, consents, and laws. Users requesting or using background information are responsible for complying with applicable employment, consumer-reporting, housing, contracting, and anti-discrimination laws. VendorView360 does not provide legal advice.

6. Marketplace Opportunities and Invitations

Organizations are responsible for the accuracy, legality, confidentiality, and authorization of opportunity postings and invitations. Public postings must not disclose customer, borrower, property, personal, confidential, or other restricted information without authorization. A posting, response, expression of interest, invitation, or qualification status does not guarantee work, an assignment, a contract, payment, acceptance, or future business.

Vendors are responsible for evaluating opportunities, organizations, scopes, rates, and contractual terms before accepting work. VendorView360 may limit, review, decline, remove, close, or expire postings and responses to protect users, enforce these Terms, or maintain marketplace quality.

7. AI-Assisted Features

AI-assisted features may produce incomplete, outdated, or inaccurate results. Outputs may not reflect verified information and should be independently reviewed before decisions are made. Externally discovered businesses are not qualified or endorsed merely because they appear in search results. You may not use AI-assisted output as the sole basis for decisions that produce legal or similarly significant effects on an individual.

9. Third-Party Services and Links

The Services may integrate with or link to third-party services, including background-check, electronic-signature, social-media, hosting, and communications providers. We do not control and are not responsible for their availability, content, security, terms, or practices. Your use of them may be governed by separate agreements.

10. Fees and Additional Terms

Certain features may be free and others may require payment. Pricing, subscription terms, transaction terms, and service-specific terms will be disclosed before purchase or set out in a separate agreement. If additional terms conflict with these Terms, the additional terms control for the applicable service.

11. Intellectual Property

The Services, including their software, design, branding, text, graphics, and functionality, are owned by VendorView360 or its licensors and protected by law. Except for the limited right to use the Services under these Terms, no rights are granted to you. “VendorView360” and related marks may not be used without permission.

12. Suspension and Termination

We may suspend or terminate access when reasonably necessary to protect users or the Services, address suspected violations, comply with law, prevent harm, or enforce agreements. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” VendorView360 disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and warranties arising from course of dealing or usage of trade.

14. Limitation of Liability

To the fullest extent permitted by law, VendorView360 and its owners, affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from or related to the Services. VendorView360’s total liability for all claims will not exceed the greater of $100 or the amount you paid VendorView360 for the Services during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless VendorView360 and its owners, affiliates, officers, employees, contractors, and suppliers from claims, damages, losses, liabilities, and expenses arising from your content, use of the Services, relationships or transactions with other users, or violation of these Terms or applicable law.

16. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any dispute not subject to a separate written agreement will be brought in a state or federal court with jurisdiction in Missouri, and each party consents to personal jurisdiction there.

17. Changes

We may update these Terms periodically. The effective date above shows when they were last revised. Material changes may be communicated through the Services or by other appropriate means. Continued use after updated Terms take effect constitutes acceptance of the revised Terms.

18. General

These Terms and any applicable additional terms are the entire agreement regarding the Services. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with our business or the Services.
